We help new companies get established, action your terms and conditions, protect your intellectual property and cover off on these issues that affect startup businesses.

PACK 1
Company Creation

A private company is one of the most common legal structures for a business. Its separate legal entity status assists in asset protection, limiting liability and tax-effective planning for business owners.
Our Company Creation Pack helps your business set up a company while keeping you informed about what it means to own and run a business through a company structure.
This Pack includes tailored advice, incorporation of your company and we even send you a company constitution and company register (which is a folder containing important company documents such as minutes of meetings, resolutions, bank account instructions and tabs for the storage of critical bank statements, investment strategies and tax or financial reports as the company continues into the future).
Having and maintaining a company register helps you meet your obligations as a shareholder and director under the Corporations Act 2001.

PACK 2
Good Governance

- Preparation of a shareholders agreement in the form of a deed
- A handy summary tool to help explain the shareholders agreement
A shareholders agreement is a document that governs the relationship between the shareholders of a company. It is an agreement that aims to protect the shareholders collectively and individually by addressing certain rights, obligations and liabilities that aren’t always set out in a company constitution.
It is strongly recommended that, in order to address these shortfalls experienced with constitutions, the shareholders of the company enter into a shareholder agreement.
Our Good Governance Pack includes the preparation and one major revision of a tailored shareholders agreement, our review of the company’s current constitution to ensure each document works with the other and provides you with a summary tool containing information on how the shareholder agreement works.
In our experience, the absence of a shareholder agreement causes enormous pain and cost down the track because there is no clear path to resolving disputes or agreeing on the basis upon which shareholders might exit the business if things don’t work out.

The Basic Fundamentals Pack includes one major revision for each of the documents. It provides you with a simple and effective privacy policy to cover off on the obligations you may have under Australian Privacy Laws and a short disclaimer to include on your website to help you limit any liability arising out of your trade and commerce.

When you’re launching your App, you need to make sure that you are protected and have a set of terms and conditions for all your new users. Just like a website or an online store, your terms and conditions will outline how your users will access and use the App. They also prevent misuse and abuse of your App. Our Kick-Starter App Pack gives you a polished set of terms and conditions covering off on critically essential topics like user’s rights and licencing to use the App, protection of intellectual property and limitations of your liability as to the App owner in Australia.
The Pack provides you with a simple and effective privacy policy to cover off on the obligations you may have under Australian Privacy Laws and a short disclaimer to include on your website to help you limit any liability arising out of your trade and commerce.The Kick-Starter App Pack includes one major revision of the tailored Mobile App Terms and Conditions, Privacy Policy and Disclaimer. Building Your Team

If you are hiring your first employee, then our Building Your Team Pack is a perfect way to get your employment contract sorted with your new employee.
An employment contract governs the relationship with your employee and outlines everything about the employee’s duties and responsibilities while working for you. It also sets out the employee’s duties, the hours they are required to work, how much they will be paid and your expectations of them in your business.
Our Building Your Team Pack includes an employment contract for either an award-based employee or a non-award-based employee. We can also throw in for an extra fee a workplace employee handbook providing workplace policies that will assist in setting out your expectations as an employer across critical areas including: internet usage; drug and alcohol usage; bullying and harassment / anti-discrimination; smoking in the workplace; use of company property; and similar matters. Our Building Your Team Pack includes one major revision of the tailored employment contract.
Importantly, the employment contract will ensure the assignment to you of any and all intellectual property rights generated by employees during the course of their employment.
An award is a legal instrument created by an industrial tribunal and located on the Fair Work Ombudsman’s website.

Offering Your Services

Our Offering Your Services Pack covers the essential engagement documents when looking to provide or receive services. This Pack includes a tailored services agreement that includes Confidentiality provisions to make sure that your confidential information is protected.
Offering your services can be a big step for some small businesses and one that shouldn’t be taken lightly when it comes to your legal documents.
Our services agreement is a document that outlines the scope of the services to be provided and the rights and obligations of each party. It sets out the delivery and performance objectives and covers off on payment mechanisms and timing as well as dispute resolution processes.

Brand Check

Creating and designing a business name, logo, a brand and any associated getup is a creative and exciting process. So, before you put money on the table for that creative work, it is smart first to check if your business names and logos or brand are available in the marketplace and can be registered. We can assist with preliminary advice regarding the registration of your business name, domain names, trade marks and any logos before you decide to lock in those creative works and spend money you might later regret.
Our Brand Check Pack provides you with a comprehensive check and search results about your brand before you spend too much money on creative branding to find out you can’t actually register the names.
Our simple and effective searching will help you be better informed about the next steps with your brand and your business.
PACK 8
Trade Mark Registration*

- Preparation and drafting of one Trade Mark Application, including tailoring specifications
Did you know that the registration of a business, company or domain name does not automatically grant any ownership rights in the name and that only a registered trade mark can offer such ownership?
For the proper protection of your business or company name, you should consider a trade mark registration. A registered trade mark is a valuable asset to your business and shows that you take your intellectual property seriously.
Our Trade Mark Protect Pack includes our talented team tailoring a trade mark application to your logo or word trade mark.
This is a great solution to ensure that you obtain exclusivity and proprietary ownership of your trade mark. With application fees starting at $600 per trade mark per class, for a 10 year registration period, renewable forever, registering a trade mark represents a modest investment to protect your business. They also add an asset to your balance sheet which is saleable and able to be licensed to others for a fee.
*This price does not include any filings outside Australia.
**Our Trade Mark Protect Pack does not include an IP Australia Class fee (currently $400 per class), or any work post filing of the trade mark application including advising in respect of adverse examination reports and any necessary work to prosecute the application to registration.
PACK 9
Staying Confidential Pack

A startup is worth only as much as the ideas behind it. To keep your ideas safe, you need a legal document to bind potential business partners to secrecy. If you don’t then: in some cases your ideas will not be able to be the basis for a patent or design registration; others might steal or adapt your ideas to compete with you or take business from you; competitors might beat you to market; suppliers could start offering goods or services instead of supplying you; workers could leave you and set up in competition with you (unless you’ve bought our Building Your Team Pack); Angel Investors or incubator participants could copy or replicate your idea without penalty; etc.
Our Staying Confidential Pack provides you with a non-disclosure agreement (NDA also known as a confidentiality agreement). This helps ensure that people or companies who learn about your business don’t disclose it to a third party or use it beyond the agreed purpose.
To protect you and your ideas, you should use an NDA when sharing any business secrets or ideas. This includes when interacting with business partners, marketing firms, angel investors, suppliers, prospective customers or workers, or manufacturers. An NDA can also create a sense of trust between two parties helping to assist with negotiations, demonstrate a level of professionalism and business acumen, and willingness to take the next natural step in contractual dealings.
PACK 10
Debtors Dealings

Many startups and small businesses are owed smaller sums of money that can be uncommercial to recover through a full legal service. This is where our friends at CGCollect can help. We’ve partnered with CGCollect to provide Bolter clients with a discounted easy, affordable, online way to pursue unpaid debts. These redeemable tokens must be used within six months from the date of purchase.
For debts up to $50,000 or in circumstances where you would prefer a more streamlined debt collection solution, then our Debtor Dealings Pack is a great way to collect that debt. Our team, in conjunction with CGCollect, will prepare a lawyer-approved letter of demand and send it off with a deadline for payment to the debtor. If payment isn’t forthcoming, we’ll chase it up via phone. If it remains unpaid, we’ll come back to you with further advice about what you should do next.
